Fastparts.com and America II Electronics Announce Strategic Alliance at Wescon '99

San Jose, Calif. October 18, 1999 - FastParts.com and America II Electronics announced today an alliance that allows each of the companies to leverage the complementary strengths of the other. FastParts.com is the leading business-to-business internet-based trading exchange and marketplace for the electronics parts industry. America II Electronics is one of the country's largest independent distributors of electronic components. The announcement was made today at Wescon '99 in the McEnery Convention Center, San Jose, California. FastParts.com brings to the partnership its electronic commerce prowess and access to global markets. America II Electronics brings its ISO 9002 certified facilities and proven expertise in logistics.

Under the terms of the agreement:

• FastParts.com will outsource to America II Electronics' facility, the inspection, shipment and handling of parts traded between FastParts.com members, allowing the company to handle increasingly greater quantities of shipments as business volume grows. America II Electronics will perform these functions under strict confidentiality.
• Inventories consigned to FastParts.com by its members will be warehoused in America II Electronics' ISO 9002 certified facilities. The program allows those companies who prefer it, to move their excess inventories offsite. Physically consigned inventories are shippable same day for orders received before 5:00 PM Eastern Time.
• America II Electronics will post its relevant inventory on the FastParts Trading Exchange, making a significant contribution to the mass of virtual inventory currently offered for sale on FastParts.com's
  web site.

Both parties see this as an equal partnership, where the strengths of each complement the other. Outside the relationship, both will continue to do business with their traditional customers.
